Welcome to Re:ignite

This Site is owned and operated by Sandra Hurkova, trading as Re:ignite (referred to in these terms as "Re:ignite", "I", "me", and "my"). I am a freelance brand and web designer specializing in providing services including brand identity, brand strategy, web design, UI/UX design, digital product design, consultations, and brand audits to businesses.

These Terms & Conditions ("Terms"), together with my Privacy Policy, apply to all Site visitors, newsletter subscribers, clients, and all other users of the Site ("user", "you" and "your") at https://www.reignite.design and my social media accounts on Instagram® and LinkedIn®.

Please take the time to read these Terms as they apply to your use of this Site and the services I provide.

Consent to Site Terms

By accessing and using this Site, my social media channels, and any materials made available to you on this Site, you are taken to accept these Terms.

No Minors

By using the Site or purchasing any services, you warrant that:

(a) you are over 18 years of age and have the legal capacity to enter into a legally binding contract; (b) have read and accepted these Terms; and (c) will comply with these Terms.

Changes to These Terms

I reserve the right to change or modify these Terms at any time consistent with applicable laws, without notice to you. These changes will be effective as of the date I post the revised version on this Site.

It is your responsibility to review these Terms prior to use and periodically throughout your use of the Site and services. Your continued use of this Site is deemed acceptance of any modifications or amendments to these Terms.

Intellectual Property

The Site and services contain intellectual property owned by me and/or by third parties that license content to me, including without limitation trademarks, copyrights, proprietary information, designs, and other intellectual property rights, as well as the business name, logo, all designs, text, graphics, and other files ("Content").

Your use of the Site and/or services and access to any Content does not grant or transfer any rights, title, or interest to you in relation to this Site, the services, or the Content.

No Commercial Use

You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce, perform, or in any way exploit in any format whatsoever the Site, my services, or the Content, in whole or in part, without my prior written consent.

I reserve the right to immediately remove your access to the Site and services, without refund, if you are found to be violating these Terms.

Services

I provide brand and web design services including:

• Brand identity design

• Brand strategy

• Web design

• UI/UX design

• Digital product design

• Design consultations

• Brand audits

The specific scope, deliverables, timeline, and fees for each project will be outlined in a separate proposal or contract.

Prices and Payment

Prices are in Euros (EUR) unless otherwise stated. The prices indicated on the Site or in proposals may change at any time. Services will be charged at the price agreed upon at the time the project agreement is signed.

Payment Terms

• Deposit: Each project requires a 50% deposit paid upfront before any work begins

• Payment methods: Direct bank transfer or card payment online

• Final payment: The remaining 50% is payable at the agreed date at the end of the project timeline, prior to delivery of final files

• Invoice terms: All invoices are payable within 21 days of invoice date

• Late payment: A 2% service charge is payable on all overdue balances. This charge will be applied when reissuing invoices at 21, 28, 35, 42 days and so on from the date of the original invoice

• Additional fees: You may be subject to additional fees such as rush fees and extra revision fees. The amount depends on the size of the project and specifics of each situation and will be communicated in advance

Non-Payment

Non-payment or default in payment means the client shall assume responsibility for cost outlays by Re:ignite in all collections of unpaid fees, including legal fees necessitated by default in payment.

I may choose to:

• Cancel the project immediately

• Suspend work until payment is received (including stopping ongoing work and withholding delivery of materials)

• Pursue collection proceedings

Revisions

The default number of revisions included is 2 per project. Since each project is unique, the scope and any limitations will be stated in the project proposal.

Any additional services or revisions not included in the agreed package require separate agreement and may impact the project timeline.

Project Timelines

Project timelines will be outlined in the project proposal. I will make every reasonable effort to meet agreed deadlines. However, timelines are dependent on:

• Timely provision of required materials and feedback from you

• Adherence to the agreed number of revisions

• Timely payment of invoices

Delays caused by late feedback, additional revision requests beyond the agreed scope, or late payments may result in adjusted timelines.

Client Responsibilities

You are responsible for:

• Providing all necessary materials, content, and information in a timely manner

• Carefully reviewing and approving all proofs and drafts

• Ensuring the accuracy of all content you provide

• Correcting any errors in final proofs prior to approval

I will make every reasonable effort to ensure the accuracy of materials produced, but it is your responsibility to carefully check all proofs for errors prior to final approval. I will not be held accountable for additional costs incurred if the project has to be reproduced due to errors that were not corrected in the final proofs approved by you.

Intellectual Property and Ownership

Final Deliverables

Upon full payment, you will receive ownership rights to the final approved designs as specified in the project agreement. This typically includes the right to use the final designs for your business purposes.

Work in Progress

All preliminary designs, concepts, sketches, and drafts remain the property of Re:ignite unless otherwise agreed in writing.

Portfolio Use

I reserve the right to display completed work in my portfolio, on my website, and in promotional materials unless otherwise agreed in writing.

Links to Other Websites

My Site and social media channels may have links to other sites operated by third parties. I do not endorse, control, or approve of and am not responsible for the content on those websites. It is your responsibility to investigate and decide if those websites and their content are appropriate for you.

Privacy

These Terms also include my Privacy Policy, which sets out how I use your personal information. The Privacy Policy can be accessed at https://www.reignite.design/privacy-policy/.

By using this Site, you consent to the processing described in the Privacy Policy and warrant that all data provided by you is accurate.

Electronic Communications and Electronic Signatures

You acknowledge and agree that you will be bound by any affirmation, acceptance, or agreement that is transmitted through this Site, including but not limited to any consent you provide to receive communications from me solely by means of electronic transmission.

When you click "I agree", "I consent", "Accept", or other similarly worded options by electronic means, your agreement and/or consent will be legally binding and enforceable and will be deemed to be as effective as if you had written your signature by hand.

Disclaimer - Information and Advice

The information provided on my Site is intended to be for educational and informational purposes only. Under no circumstances should the content made available on my Site or through my services be relied upon as business, financial, or legal advice without seeking independent professional advice.

My role is to support and assist you in reaching your branding and design goals. However, I cannot guarantee specific business outcomes, financial results, or success metrics as a result of using my services.

Any success you gain will be dependent on your own efforts, business model, market conditions, and many other factors beyond the scope of design services. Each client's results may vary based on their unique circumstances, industry, target audience, and business execution.

I will deliver professional design services to the best of my ability, but I cannot guarantee specific business results, sales figures, customer acquisition, or other performance metrics.

Results achieved by individual clients are due to multiple factors including their own business efforts. Personal Responsibility

By purchasing services or using my Site, you acknowledge that you are solely and personally responsible for how you use and implement the design work provided. You acknowledge that you will undertake your own due diligence and judgment before applying any designs or strategies, taking into account your own business circumstances.

Prohibited Use

(a) for any unlawful purpose; (b) to violate any international, federal, or state regulations, rules, laws, or local ordinances; (c) to attempt to change, remove, deface, hack, or otherwise interfere with this Site or any material or content displayed on the Site; (d) to hack into any aspect of the Service or corrupt data; (e) to infringe upon the rights of any other person's proprietary rights; (f) to send any unsolicited advertising or promotional material ("spam"); (g) to attempt to affect the performance or functionality of any computer facilities of or accessed through this Site.

This Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, I make no representations or warranties about my Site and/or the services, including that:

Indemnification

To the fullest extent permitted by applicable laws, you agree to indemnify and hold me and my related entities, affiliates, and contractors harmless from any loss, liability, claim, or demand (including reasonable legal fees) made by any third party due to or arising out of:

• Your use of this Site in violation of these Terms

• A breach of these Terms

• Any breach of your representations and warranties set out in these Terms

• Your breach of any law or the rights of a third party

Breach and Termination

The agreement between us may be terminated:

(a) where you breach any provision of these Terms; or (b) at any time by me without notice

Upon termination, all disclaimers and limitations of liability will survive termination, and you will no longer be authorized to access the Site or receive services.

Cancellation and Refunds

Client-Initiated Cancellation

If you wish to cancel a project after work has commenced:

• The deposit is non-refundable

• You will be invoiced for work completed up to the point of cancellation at the agreed hourly or project rate

• Any outstanding invoices must be paid within the standard payment terms

Designer-Initiated Cancellation

I reserve the right to cancel or refuse services at any time for any reason. In such cases:

• Any deposit paid will be refunded

• You will be invoiced only for work completed up to the point of cancellation

• I will not be liable for any consequential damages

Severability

If any term or provision of these Terms is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law. The remaining provisions of these Terms will remain in full force and effect.

Ceasing the Website

I have the right to discontinue this Site at any time, with or without notice to you. I may also exclude any person from using the Site at any time and at my sole discretion. I will not be responsible for any liability you may suffer arising from or in connection with any such discontinuance or exclusion.

Assignment

I am permitted to assign, transfer, and subcontract my rights and/or obligations under these Terms without any notification or consent required. However, you are not permitted to assign, transfer, or subcontract your rights and/or obligations under these Terms without my written consent.

Entire Agreement

These Terms (together with my Privacy Policy and any project-specific proposals or contracts) constitute the entire understanding and agreement between us in relation to your use of this Site and the services provided, and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic.

Governing Law and Jurisdiction

All Terms shall be construed in accordance with and governed by the laws of the Czech Republic.

In the event of any dispute, I ask that you contact me at [YOUR EMAIL ADDRESS] in the first instance so that both parties can, acting in good faith, resolve the dispute to our mutual satisfaction as quickly, cost-effectively, and efficiently as possible.

Where a dispute cannot be resolved, you agree to submit to Act No 89/2012 Coll., the Civil Code, or other Czech legislation as appropriate.
